Following the recommendation of the OWHA, the PGHA retained LLF lawyers specializing in not-for-profit governance.
At the request of the board of Directors, LLF has completed a review our governing documents. Our corporation is
now governed by Ontario’s new Not for Profit Corporations Act (“ONCA”). It is important for any corporation that is
subject to the Act to ensure that their governing documents (Letters Patent/Articles and Operational By-laws) conform to the provisions of the new Act.
While traditionally our Annual General Meeting is held by June of each year, LLF has recommended that we delay this
year’s AGM to the end of August to permit the board to pass ONCA compliant by-laws (to be ratified by the members)
and prepare and propose a members’ resolution amending and restating our articles (currently our Letters Patent)
under ONCA. Pursuant to the Act, every corporation governed by the Act is required to hold an Annual General
Meeting within 15 months of the previous Annual General Meeting. Accordingly, we’ll have to hold the AGM by
August 29, 2025.
Following these recommendations, our AGM will take place in August, and the AGM package will be sent sometime in
mid to late July of this year for your review. The package will include the proposed new compliant by-laws as well as
proposed members’ resolution to amend and restate our articles under ONCA. Becoming ONCA compliant is
mandatory for our association. A representative from LLF will attend our AGM to explain changes and answer any
questions pertaining to ONCA.
